These Terms of Service ("Terms") govern your access to and use of IndexNow Studio ("the Service"), operated via the index-now.dev website and related applications. By creating an account or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or sending you an email. Your continued use of the Service after such notice constitutes acceptance of the revised Terms.

2. Description of the Service

IndexNow Studio is a search engine optimization (SEO) platform that provides:

Keyword rank tracking across multiple search engines (Google, Bing, Yahoo)
Automated URL indexing submission to search engines
Keyword intelligence and data enrichment (search volume, CPC, competition, keyword difficulty, intent classification)
Domain management and verification
Rank history, trend analysis, and reporting
Job scheduling for automated rank checks (hourly, daily, weekly, monthly)

The Service relies on third-party data sources and APIs. While we strive for accuracy, we do not guarantee that ranking data, keyword metrics, or indexing results will be 100% accurate or up to date at all times.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing your full name, email address, phone number, country, and a secure password. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account

We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

3.3 Account Suspension and Termination

We may suspend or terminate your account at our sole discretion if:

You violate these Terms or any applicable law
You engage in fraudulent, abusive, or harmful activity
Your account is used to send spam, scrape data, or abuse our API
You fail to pay any amounts due under your subscription

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention policies described in our Privacy Policy.

4. Subscription Plans and Payments

4.1 Subscription Plans

The Service is offered through tiered subscription plans, each with defined quotas and feature limits (such as maximum keywords, domains, and API calls). Details of available plans and pricing are displayed on our pricing page and may be updated from time to time.

4.2 Payment Processing

All payments are processed by Paddle, our third-party payment provider. By purchasing a subscription, you agree to Paddle's terms of service and privacy policy. Paddle handles all payment card processing — we do not store your payment card details.

4.3 Billing and Renewal

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

Your subscription remains active until the end of the current billing period
You will not be charged for subsequent billing periods
No partial refunds are provided for unused time within a billing period

4.5 Refunds

Refund requests are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us within 14 days of the transaction. Refunds, if approved, will be processed through Paddle to your original payment method.

4.6 Price Changes

We reserve the right to change our subscription prices. Any price changes will take effect at the start of your next billing period. We will provide you with reasonable advance notice of any price increase.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service for any illegal or unauthorized purpose
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Use automated scripts, bots, or scrapers to access the Service outside of our provided API
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to transmit malware, viruses, or any malicious code
Exceed your subscription plan's quota limits through circumvention or abuse
Resell, sublicense, or share your account access with third parties without our written consent
Use the Service in a manner that could damage, disable, overburden, or impair our infrastructure
Violate the intellectual property rights of any third party

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is and remains the exclusive property of IndexNow Studio and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

6.2 Your Content

You retain ownership of the data you submit to the Service (keywords, domains, URLs, and related configurations). By submitting content to the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and store your content solely for the purpose of providing the Service to you.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

7. Third-Party Services

The Service integrates with third-party services including Paddle (payments), SE Ranking (keyword data), Google APIs (indexing), Sentry (error monitoring), and PostHog (analytics). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

8. Service Availability and Modifications

8.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9. Data Accuracy and Disclaimers

9.1 Data Accuracy

The ranking data, keyword metrics, search volume, CPC, competition scores, and other SEO intelligence provided through the Service are sourced from third-party providers and search engines. While we endeavor to provide accurate and timely data, we do not warrant the accuracy, completeness, or reliability of any data provided through the Service.

9.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INDEXNOW STUDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED US DOLLARS (USD 100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless IndexNow Studio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your use of the Service
Your violation of these Terms
Your violation of any rights of a third party
Any content or data you submit through the Service

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IndexNow Studio operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body in our jurisdiction.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and IndexNow Studio regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral.
